These Terms of Use ("Terms") govern your access to and use of the MindAware mobile application (the "Application" or "App") provided by MindAware Group LLC ("MindAware," "we," "us," or "our"), a limited liability company organized under the laws of the State of New York, United States. By downloading, accessing, or using the Application, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Application.

1. Eligibility

You must be at least 13 years old to use the Application. By using the Application, you represent and warrant that you are at least 13 years old. If you are between 13 and 17 years of age, you represent that you have your parent or legal guardian's permission to use the Application and that they have agreed to these Terms on your behalf. The Application is not intended for use by individuals under 13. If we learn that a user is under 13, we will terminate that user's account and delete associated data.

2. The Service

MindAware is a mobile application designed to help users build awareness of their emotions through daily mood tracking, journaling, and AI-generated reflections. The Application provides:

• A mood logging interface with multi-level sub-feeling exploration

• A journaling space for written reflections

• AI-generated reflections after each entry, as well as weekly and monthly summaries

• Pattern visualization across entries over time

• Optional email subscription to monthly notes

3. Not Medical or Clinical Care

MindAware is designed to support emotional awareness, self-reflection, and personal insight through journaling, mood tracking, and AI-generated reflections. The Application is intended for general wellness and reflective purposes only.

MindAware is not a medical device, healthcare service, crisis service, or licensed mental health provider. The AI-generated reflections, summaries, and insights provided through the Application are automated outputs and are not medical advice, psychological advice, diagnosis, or treatment.The Application is not a substitute for professional mental health care, therapy, counseling, or medical treatment. You should not rely on the Application for clinical, psychiatric, or emergency

decision-making.

If you are experiencing a mental health crisis, thoughts of self-harm, suicidal ideation, or a medical emergency, contact a qualified healthcare professional, crisis hotline, or emergency services immediately.

While we aim to create thoughtful and supportive experiences, AI-generated content may be incomplete, inaccurate, emotionally inappropriate, or misaligned with your circumstances. You should use your own judgment when interpreting AI-generated content.

4. Your Account and Your Content

Pseudonymous Account: The Application uses pseudonymous authentication through device-linked identifiers rather than traditional email/password accounts. You do not create an account with login credentials. Your entries are associated with a generated internal identifier on your device. If you uninstall the Application or lose access to your device, you may permanently lose access to your account and your entries.

Your Content: You retain all rights to the content you create within the Application, including your journal entries and mood logs ("Your Content"). By using the Application, you grant MindAware Group LLC a limited, non-exclusive, royalty-free license to process Your Content for the purpose of providing the Application's features, including transmitting Your Content to AI service providers (OpenAI) to generate reflections.

Your Responsibility: You are solely responsible for the content you create within the Application. You agree not to use the Application to create or share content that is illegal, abusive, harassing, threatening, or that infringes on the rights of others.

5. Subscriptions and Payment

Free Trial: New users may be offered a free trial period (currently 2 weeks). At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

Subscription Options: MindAware offers premium subscriptions on a monthly or annual basis. Current pricing is USD $12.99 per month or USD $89.99 per year. Pricing may vary by region and is subject to change. Current pricing is displayed within the Application before purchase.

Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of the current period.Cancellation: You can manage and cancel your subscription at any time through your Apple ID account settings on your device. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing period.

Refunds: All purchases are processed through Apple's App Store. Refund requests must be submitted directly to Apple in accordance with Apple's refund policy.

Price Changes: We reserve the right to change subscription pricing. If we change pricing for your subscription, we will notify you in advance and give you the opportunity to cancel before the new pricing takes effect.

6. Acceptable Use

You agree not to:

• Use the Application for any illegal purpose or in violation of any law or regulation

• Reverse engineer, decompile, or attempt to extract the source code of the Application

• Copy, modify, distribute, sell, or lease any part of the Application

• Use the Application in any manner that could damage, disable, or impair the App

• Attempt to gain unauthorized access to any part of the Application or its systems

• Use automated systems (bots, scrapers) to interact with the Application

• Use the Application to harm yourself or others

7. Intellectual Property

The Application, including its software, design, text, graphics, logos, and all other content (other than Your Content), is the property of MindAware Group LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Application for your personal, non-commercial use, subject to these Terms.

8. Third-Party Services

The Application integrates with third-party services, including Supabase, OpenAI, Mixpanel, RevenueCat, and Apple. Your use of these services through the Application is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of third-party services.

9. Updates, Availability, and Termination

Updates: We may release updates to the Application from time to time. You agree to install updates when offered to ensure proper functionality. Some features may not work correctly if you do not update the Application.Availability: We strive to keep the Application available and functional but do not guarantee uninterrupted access. The Application requires an active internet connection for certain features (such as AI reflections). We are not responsible for any inability to access the Application due to your internet connection, device issues, or third-party service outages.

Termination: We may suspend or terminate your access to the Application at any time, with or without notice, for any reason, including if you violate these Terms. You may stop using the Application at any time by uninstalling it from your device. Upon termination, your rights to use the Application cease, and the provisions of these Terms that by their nature should survive termination will remain in effect.

10. Disclaimers

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Application will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make no warranty regarding the accuracy, reliability, or completeness of any content generated by the AI features of the Application. AI-generated reflections are produced by automated systems and may contain errors, omissions, or unintended interpretations.

11. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MINDAWARE GROUP LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APPLICATION.

Our total liability for any claim arising out of or relating to these Terms or the Application, regardless of the cause of action, shall not exceed the greater of (a) the amount you paid to us for the Application in the 12 months preceding the claim, or (b) USD $100. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless MindAware Group LLC and its officers, directors,

employees, and agents from and against any claims, liabilities, damages, losses, and expenses(including reasonable attorneys' fees) arising out of or in any way connected with your access to or

use of the Application, your violation of these Terms, or your violation of any rights of another.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Application shall be resolved in the state or federal courts located in New York, and you consent to the jurisdiction of those courts.

If you are a consumer residing in the European Union, the United Kingdom, or another jurisdiction that provides mandatory consumer protections, nothing in these Terms affects your rights under applicable consumer protection laws.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Effective Date" at the top of these Terms and, where appropriate, providing notice through the Application. Your continued use of the Application after the effective date of revised Terms constitutes your acceptance of the changes.

15. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and MindAware Group LLC regarding the Application.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights under these Terms without restriction.
